Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of website design, website development, website sale, domain-related services, and related services by HarbourWeb ("HarbourWeb", "we", "our", or "us") to any customer ("Client", "you", or "your").

By purchasing any service from HarbourWeb, you agree to be bound by these Terms.

1. Services

HarbourWeb provides website design, website development, website sales, domain setup assistance, website modifications, and related digital services.

The specific services provided shall be determined by the package purchased by the Client and any written agreement between HarbourWeb and the Client.

2. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information required for the creation of the website.
  • Supply all necessary content, images, logos, branding materials, and other assets required for the project.
  • Ensure they have the legal right to use all content supplied to HarbourWeb.
  • Review and approve website content and functionality within a reasonable period.
  • Pay all agreed fees on time.

The Client is solely responsible for ensuring that all content on their website complies with applicable laws and regulations.

3. Starter Package

For Clients purchasing the Starter Package:

  • HarbourWeb shall provide website development and website delivery services.
  • The Client shall receive a thirty (30) day website edit period commencing from the date the website is delivered or published.
  • During this period, HarbourWeb may make reasonable modifications and amendments requested by the Client within the scope of the purchased package.
  • Upon expiry of the thirty (30) day period, full control of the website, domain name, hosting account, and any associated digital assets shall be transferred to the Client where applicable.
  • Following transfer, HarbourWeb shall retain no ownership, administrative control, or management authority over the Client's website, domain name, hosting account, business operations, or digital assets.

The Client is responsible for all domain registration and renewal costs associated with the website, including any fees charged by GoDaddy.com or any alternative registrar.

4. Growth Package

For Clients purchasing the Growth Package:

  • The Client shall receive a two (2) month website edit period commencing from the date the website is delivered or published.
  • During this period, HarbourWeb may make reasonable modifications and amendments requested by the Client within the scope of the purchased package.
  • Upon expiry of the two (2) month period, full control of the website, domain name, hosting account, and associated assets shall be transferred to the Client where applicable.
  • HarbourWeb shall cover the cost of the domain name registration and renewal during the two (2) month period, provided that the domain cost does not exceed £30 GBP per month.
  • Where domain registration costs exceed £30 GBP per month, the Client shall be responsible for the amount exceeding £30 GBP per month, unless otherwise agreed in writing.

Following transfer, HarbourWeb shall retain no ownership, administrative control, or management authority over the Client's website, domain name, hosting account, business operations, or digital assets.

5. Professional Package

For Clients purchasing the Professional Package:

  • The Client shall receive a five (5) month website edit period commencing from the date the website is delivered or published.
  • During this period, HarbourWeb may make reasonable modifications and amendments requested by the Client within the scope of the purchased package.
  • Upon expiry of the five (5) month period, full control of the website, domain name, hosting account, and associated assets shall be transferred to the Client where applicable.
  • HarbourWeb shall cover the cost of the domain name registration and renewal during the five (5) month period, provided that the domain cost does not exceed £30 GBP per month.
  • Where domain registration costs exceed £30 GBP per month, the Client shall be responsible for the amount exceeding £30 GBP per month, unless otherwise agreed in writing.

Following transfer, HarbourWeb shall retain no ownership, administrative control, or management authority over the Client's website, domain name, hosting account, business operations, or digital assets.

6. Ownership and Intellectual Property

Upon full payment of all applicable fees and completion of the applicable package period:

  • Ownership of the completed website shall transfer to the Client.
  • Ownership of the domain name shall belong to the Client or be transferred to the Client where applicable.
  • HarbourWeb shall retain ownership of any proprietary development tools, templates, frameworks, software, methodologies, or pre-existing intellectual property used in creating the website unless otherwise agreed in writing.

The Client shall own all content provided by them.

7. Website Modifications During Included Edit Period

Any modifications requested during the applicable edit period shall be subject to reasonable usage and project scope.

HarbourWeb reserves the right to refuse requests that:

  • Constitute a substantial redesign.
  • Require significant additional development work.
  • Introduce unlawful, offensive, or prohibited content.
  • Fall outside the scope of the purchased package.

Additional work may be quoted separately.

8. Limitation of Liability

To the maximum extent permitted by law, HarbourWeb shall not be liable for:

  • Loss of revenue.
  • Loss of profits.
  • Loss of business opportunities.
  • Loss of customers.
  • Loss of data.
  • Loss of goodwill.
  • Website downtime.
  • Hosting failures.
  • Domain registration issues.
  • Search engine ranking changes.
  • Third-party service failures.
  • Indirect, consequential, incidental, special, or punitive damages.

The Client acknowledges that websites, hosting services, domain registrars, internet infrastructure providers, and third-party services may experience outages, interruptions, security incidents, or failures beyond HarbourWeb's control.

9. No Ongoing Responsibility After Transfer

Once ownership and control of the website and domain have been transferred to the Client:

  • HarbourWeb shall have no ongoing responsibility for maintenance, updates, security, hosting, backups, renewals, or operation of the website.
  • HarbourWeb shall not be responsible for any losses, damages, costs, liabilities, or business interruptions arising after transfer.
  • The Client assumes full responsibility for the management and operation of the website and domain.

10. Third-Party Services

Websites may utilise third-party services including but not limited to:

  • Domain registrars.
  • Hosting providers.
  • Payment processors.
  • Analytics services.
  • Content delivery networks.
  • Email service providers.

HarbourWeb does not control and is not responsible for the performance, availability, pricing, security, or actions of any third-party provider.

11. Payments

All fees must be paid in accordance with the agreed payment schedule.

HarbourWeb reserves the right to:

  • Suspend work for overdue payments.
  • Delay project delivery until payments are received.
  • Cancel services where payment remains outstanding.

Unless otherwise agreed, all payments are non-refundable once work has commenced.

12. Indemnity

The Client agrees to indemnify and hold harmless HarbourWeb, its directors, employees, contractors, and representatives from any claims, losses, liabilities, costs, damages, or expenses arising from:

  • Content supplied by the Client.
  • The Client's use of the website.
  • Breach of these Terms.
  • Violation of any law or third-party rights.

13. Termination

HarbourWeb reserves the right to terminate services where:

  • The Client breaches these Terms.
  • The Client engages in unlawful activity.
  • Required payments are not made.

Any accrued rights and obligations shall survive termination.

14. Amendments

HarbourWeb may update these Terms from time to time. Updated Terms shall become effective upon publication on our website.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Jersey.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Jersey.
